Terms of Service for Northfield Potato Supplies Ltd

1. Introduction and acceptance of terms
These Terms of Service govern the provision of products and services by Northfield Potato Supplies Ltd (“Northfield Potato Supplies Ltd”, “we”, “us”, or “our”) to any customer, client, retailer, wholesaler, food service business, caterer, manufacturer, or other commercial purchaser (“you” or “your”).
By placing an order, accepting a quotation, receiving delivery, accessing our services, or otherwise engaging with Northfield Potato Supplies Ltd, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you must not place an order or use our services.
These Terms apply to all sales and supply arrangements unless expressly agreed otherwise in writing and signed by an authorised representative of Northfield Potato Supplies Ltd.
2. Scope of services
Northfield Potato Supplies Ltd supplies potatoes and related commercial services, including but not limited to:
- Wholesale potato supply for retailers and food service businesses;
- Fresh table potatoes in mixed and single-variety packs;
- Pre-sorted grading and sizing for commercial orders;
- Bulk delivery across the UK;
- Seasonal potato sourcing from trusted growers;
- Potato packing and private-label support; and
- Contract supply for catering and manufacturing needs.
All products are agricultural and perishable in nature. Availability, varieties, grades, sizes, pack formats, and delivery dates may vary depending on crop conditions, seasonal supply, storage conditions, transport availability, and market conditions.
Any descriptions, specifications, images, sample packs, or marketing materials are provided for general information only and do not form a guarantee unless expressly stated in a written contract or quotation.
3. User obligations and responsibilities
You agree that you will:
- Provide accurate, complete, and up-to-date business, delivery, invoicing, and contact information;
- Ensure that any person placing orders on your behalf is authorised to do so;
- Inspect products promptly upon delivery and notify us without undue delay of any issue, shortage, damage, quality concern, or alleged non-conformity;
- Store, handle, transport, and use the products in accordance with industry best practice, relevant food safety requirements, and any instructions provided by us;
- Maintain suitable storage conditions for potatoes, including appropriate ventilation, temperature, hygiene, and pest control;
- Comply with all applicable laws and regulations relating to food safety, traceability, resale, labelling, and distribution; and
- Not resell, repackage, relabel, or market products in a misleading manner.
You acknowledge that product quality may be affected by improper storage, delayed unloading, unsuitable handling, contamination, or environmental conditions outside our control. We are not responsible for deterioration arising from your failure to meet your obligations.
4. Payment terms and conditions
Unless otherwise agreed in writing, all prices are stated exclusive of VAT and any other applicable taxes, duties, levies, surcharges, or delivery charges. Any such amounts will be added to the invoice where applicable.
Payment terms will be as stated in our quotation, order confirmation, or invoice. If no payment terms are expressly stated, payment is due within 30 days of the invoice date.
You must pay all invoices in full and without set-off, counterclaim, deduction, or withholding unless required by law. If a deduction is required by law, you must gross up the payment so that the amount received by us equals the invoiced amount.
We reserve the right to:
- Require advance payment, deposits, or partial prepayment for orders;
- Suspend or cancel deliveries where payment is overdue;
- Charge interest on overdue sums at the statutory rate or the maximum lawful rate, whichever is higher, from the due date until paid in full; and
- Recover reasonable costs of debt collection, enforcement, and legal proceedings.
Title to goods shall not pass to you until we have received payment in full for the goods and any other sums due to us. Risk in the goods passes in accordance with the agreed delivery terms or, if no specific terms are agreed, upon delivery to the agreed location.
5. Cancellation and refund policy
Because our products are perishable and frequently sourced or allocated to order, cancellations may be restricted.
You may request cancellation of an order by contacting us promptly. Cancellation will only be effective if confirmed by us in writing. For orders already harvested, packed, allocated, in transit, or prepared specifically for you, we may refuse cancellation or charge you for any costs incurred, including storage, packing, transport, and supplier charges.
Refunds or credits, where applicable, are offered at our discretion and only where goods are shown to be materially defective, incorrectly supplied, or otherwise non-conforming at the point risk passed to you, and where you have notified us within a reasonable period after delivery.
We will not provide refunds or credits for:
- Change of mind;
- Damage caused after delivery;
- Improper storage, handling, or use;
- Natural variation in agricultural products;
- Minor cosmetic defects that do not materially affect commercial use; or
- Issues reported outside the applicable notification period.
Any return of goods must be pre-authorised by us and carried out in accordance with our instructions. We may require photographic evidence, batch references, delivery records, and inspection details before considering any claim.
6. Liability limitations
Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be limited.
Subject to the foregoing, Northfield Potato Supplies Ltd shall not be liable for:
- Loss of profits, revenue, business, contracts, goodwill, or anticipated savings;
- Indirect, special, incidental, or consequential losses;
- Loss arising from delays in delivery caused by third parties, traffic, weather, supply shortages, or force majeure events;
- Loss resulting from your failure to inspect, store, handle, or use goods properly;
- Loss caused by inaccurate information supplied by you; or
- Any claims brought more than the period permitted under applicable law or these Terms.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any order, claim, or series of related claims shall be limited to the amount paid or payable by you for the goods or services giving rise to the claim.
You acknowledge that agricultural products are subject to natural variation and that commercially reasonable tolerances in size, colour, appearance, moisture content, and yield may occur.
7. Intellectual property rights
All intellectual property rights in our branding, product lists, price lists, photographs, specifications, packaging designs, trade marks, logos, website content, brochures, and other materials provided by Northfield Potato Supplies Ltd remain our property or the property of our licensors unless expressly transferred in writing.
You may not copy, reproduce, modify, distribute, publish, reverse engineer, or commercially exploit our intellectual property without our prior written consent, except to the extent strictly necessary for receiving, storing, marketing, or reselling the goods in the ordinary course of your business and subject to any agreed brand or label use conditions.
If we provide private-label, packaging, or artwork support, you are responsible for ensuring that any materials you supply do not infringe third-party rights and comply with applicable labelling and consumer protection requirements.
8. Data protection and privacy
We will process personal data in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018, where relevant.
We may collect and use personal data such as names, business contact details, delivery addresses, invoice details, order histories, and communication records for the purposes of:
- Processing orders and managing customer accounts;
- Arranging delivery and logistics;
- Invoicing, credit control, and debt recovery;
- Maintaining business records and legal compliance; and
- Responding to enquiries and providing customer support.
Where necessary, we may share personal data with service providers, logistics partners, accountants, payment processors, professional advisers, and regulatory authorities, subject to appropriate safeguards and legal obligations.

9. Force majeure
Northfield Potato Supplies Ltd shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:
- Severe weather, flood, fire, drought, or crop failure;
- Transport disruption, road closures, or vehicle breakdown;
- Labour disputes, strikes, or shortage of labour;
- Supplier failure or shortage of raw materials;
- Pest, disease, contamination, or storage disruption;
- Government action, legal restrictions, or regulatory intervention;
- Power failures, telecommunications failures, or cyber incidents; and
- Any other event outside our reasonable control.
Where a force majeure event occurs, our obligations will be suspended for the duration of the event and for a reasonable recovery period thereafter. If the event continues for an extended period, we may cancel or modify affected orders without liability, save for any amounts due for goods already supplied or costs already incurred.
10. Changes to terms
We may update or revise these Terms from time to time to reflect changes in our business, legal requirements, operational practices, or service offerings.
The updated Terms will apply from the date stated in the revised version or, if no date is stated, from the date they are published or otherwise communicated to you. Continued ordering, acceptance of goods, or use of our services after any change constitutes acceptance of the revised Terms.
If you do not agree to any revised Terms, you should stop placing orders and notify us promptly.
11. Applicable law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory legal rights that cannot lawfully be excluded.

13. Severability clause
If any provision of these Terms is held by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted.
The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
Entire agreement: These Terms, together with any written quotation, order confirmation, or separately signed agreement, constitute the entire agreement between you and Northfield Potato Supplies Ltd in relation to the supply of goods and services and supersede any prior understandings or communications to the extent permitted by law.
